Representative Experience
Dimitrov, Petrov & Co. Law Firm advised Trakya Glass Bulgaria EAD (TGB), the Bulgarian subsidiary of Sişecam Group, on the restructuring of its Bulgarian business through spin-off of two business lines into separate entities. The team provided comprehensive advice to the Turkish giant in the course of one of the most complex restructurings in the country. 
Our team successfully advised the Bulgarian investment company Advance Properties OOD in connection with the full acquisition of the pharmaceutical company Huvepharma AD from the US private equity investor Rohatyn Group. Advice was provided by the law firm to the buyer Advance Properties OOD in connection with securing a syndicated loan of EUR 275 mln to be used for financing the purchase of the share of the US investor amounting to 36 %. The deal was innovative because it involved the largest syndicated loan utilized by a Bulgarian commercial company for 2014.
The team of Dimitrov, Petrov & Co. Law Firm successfully advised the venture capital fund NEVEQ II with regard to а number of high-profile local and cross-border multimillion equity investments, including share swap structures. 
Dimitrov, Petrov & Co. was assigned to provide legal assistance in a EUR 75 mln M&A transaction regarding the sale of an agricultural investment fund, possessing approximately 200,000 m2 of agricultural land and the business thereof. The law firm advised on the seller’s side of the transaction including inter alia elaboration of the scheme of the deal, drafting of relevant documents, pertaining to the deal, and active participation in all stages of the negotiations. Due to the fact that the buyer was a publicly listed company in Bulgaria we have also advised the necessary steps for the approval of the transaction by the Bulgarian competent authorities. 
An international investor in renewable energy hired Dimitrov, Petrov & Co. to advise the process of selling its business in Bulgaria back to its original owner. Our experts analysed all aspects of the transaction which included capitalization of debt and establishing collaterals for a future price adjustment and drafted the relevant documents. The transaction was finalized in July 2014.
The team of Dimitrov, Petrov & Co. Law Firm provided legal assistance on the internal corporate restructuring of a corporate group operating in the agriculture sector. The team was assigned with the drafting and the conclusion of the relevant share transfer agreements, shareholders agreements, management and consultancy agreements, as well as in the organization of the overall negotiations and communication between the multiple participants involved.

Dimitrov, Petrov & Co. advised the founders of the biggest and most modern data centre in Bulgaria on a combined private equity/bank facility financing exercise comprising three consecutive equity investment rounds by a private venture capital fund providing both bridge and equity financing through acquiring different classes of shares in parallel to a flexible bank facility arrangement for investment and working capital with a gross value of almost EUR 3 mln. Full legal advice and negotiations support were provided on the subsequent successful exit from the investment by the founders, the fund and the bank through 100% sale of the company to a leading international provider of premium carrier-neutral data centers.
Among the firm’s renowned clients, one can find a leading international electricity trading operator, licensed for trading with electricity in Bulgaria. Dimitrov, Petrov & Co. has provided legal advice in relation to the establishment of its business in Bulgaria and its licensing for performing activities in the energy sector.
